PicassoToys Elite Club Membership Terms & Conditions

1. Payment and Cancellations:

Monthly Membership Fee:

a) Monthly Enrollment: By enrolling in our month-to-month PicassoToys Elite Club membership, you agree to be charged $8.99 every 30 days. Payments will be processed automatically every 30 days from the date of enrollment.

b) Monthly Membership Cancellation Process: To cancel your membership, either send an email to members@picassotiles.com or follow the cancellation procedure in your account settings. Please note that cancellation requests made during your 30-day membership period will not result in a refund. Cancellations must be made at least 1 hour before the next billing cycle. When you cancel your monthly membership, you will retain access to exclusive benefits until the end of your current billing cycle. After that, all membership benefits will cease.

c) Late Cancellation Consequences: If you fail to cancel before the next billing cycle, your membership will renew for another 30 days, with termination occurring after this period.

Annual Membership Fee:

a) Annual Enrollment: Enroll in our annual PicassoToys Elite Club membership and unlock an exclusive offer: 2 months free. Pay $89.99 upfront for a full year, saving the equivalent of two months' fees compared to the monthly plan. Payments will be processed automatically every 365 days from the date of enrollment.

b) Annual Membership Cancellation Process: We understand circumstances may change, so we accommodate cancellations under this plan. If you choose to cancel your subscription before the year concludes, you will receive a prorated refund for the remaining months. This commitment to fairness and transparency underscores our dedication to providing the best possible membership experience. When you cancel your annual membership, all benefits will end immediately.


2. Exclusive Promotional Deals:

a) Discount Codes: Members only exclusive promotional discount codes cannot be stacked or combined with any other offers, coupons, or promotions unless explicitly stated otherwise. The discount offered applies only to eligible merchandise purchases and does not apply to shipping fees, taxes, or any additional charges unless expressly specified. Each promotional discount code is limited to one-time use per PicassoToys Elite Club member unless otherwise indicated, and discounts are valid only during the specified promotional period, expiring thereafter. Some products may be excluded from promotional discounts, so please refer to the promotion details for any exclusions. Promotional discounts are non-transferable and may not be redeemed for cash or cash equivalents. They are also void where prohibited by law. We reserve the right to modify or terminate any promotional discounts at any time without prior notice, at our sole discretion.

b) Presales: Presales on new and upcoming toy sets are an exclusive benefit offered to members of the PicassoToys Elite Club. During the presale period, which is announced in advance, Elite Club members have the opportunity to reserve these sought-after products before their official release. Reservations can be made online through the PicassoTiles website. Upon successful reservation, Elite Club members will receive a confirmation email containing details about the expected release date and any relevant information. Payment is processed at the time of reservation, and members may cancel their reservation for a full refund before the specified deadline communicated in the confirmation email. Refunds may not be available after the cancellation deadline unless PicassoTiles cancels the presale. Reserved sets are typically received on or around the release date, subject to unforeseen circumstances or delays. Presale quantities are limited, and PicassoTiles reserves the right to limit the number of sets available for reservation per Elite Club member. Additionally, PicassoTiles reserves the right to modify, suspend, or terminate presales at any time without prior notice.

 

3. Free Monthly Pick-A-Part (PAP) Tile Packs

Members of the PicassoToys Elite Club who are residents of the 50 United States and the District of Columbia can enjoy the exclusive benefit of receiving a free monthly shipment of a Pick-A-Part (PAPs) set. Each start of your billing month, a PAP set priced $6.99 or less will be randomly chosen for distribution. It's important to note that the PAP provided in the monthly shipment is intended for personal use only and cannot be transferred or resold to third parties. PicassoTiles reserves the right to modify, suspend, or terminate this benefit at any time without prior notice.

 

4. Annual Members' Exclusive: Free Birthday Gifts:

Celebrate your child's special day with a touch of PicassoTiles magic. This exclusive perk is available only to Annual PicassoToys Elite Club Members, designed to enhance your child’s birthday with an extra touch of joy. To qualify for this complimentary birthday gift, your annual membership status must be current and active. On your child’s birthday, eligible members are entitled to choose a FREE toy from our selection list, making their celebration even more memorable.

a) Children's Birthday Verification Statement: As part of our commitment to maintaining accurate membership records, annual members are required to provide truthful information regarding their children's birthdates upon registration. This information is essential for ensuring the appropriate categorization of membership benefits and privileges.

Please note that any inaccuracies discovered through verification with family, members, friends, or publicly available information (such as social media) may result in disqualification from membership. In such cases, membership status will be terminated without eligibility for refunds.

We emphasize the importance of providing accurate information to uphold the integrity of our membership community. By submitting this information, members affirm their understanding of these requirements and consent to the verification process.

b) Claiming Your Birthday Gift: To redeem your birthday gift as a PicassoToys Elite Annual Club member, please follow these steps:

  1. Timing: After receiving your birthday email reminders, contact us no later than 30 days after your child's birthday has passed.
  2. Contact Information: Reach out to members@picassotiles.com to initiate the redemption process.
  3. Toy Selection: You will be able to choose from a designated selection list. The specific toy and availability are subject to change and may vary based on stock. No substitutions or cash equivalents are allowed.

c) Restrictions:This birthday perk entitles each child to receive one free toy per year, redeemable once annually. The offer is non-transferable, cannot be combined with other promotions or discounts, and holds no cash value.

d) Privacy: Personal information provided to redeem this perk will be used solely for the purposes of this promotion and in accordance with our privacy policy.

e) Limitations: Each annual Elite Club membership entitles up to 3 children to receive one free gift each. If you have more than 3 children, additional annual memberships must be purchased for each set of up to 3 children.

It is the responsibility of the member to accurately declare the number of eligible children at the time of membership purchase or renewal.

Free gifts are limited to one per eligible child per membership year and are non-transferable. They cannot be exchanged for cash or any other item.

 

5. Lifetime Warranty:

As part of our commitment to ensuring your satisfaction as a member of the PicassoToys Elite Club, members are entitled to a free replacement for the lifetime of the product covered by the plan. This means that should any covered product experience malfunction, failure, or normal wear and tear, you can receive a replacement at no additional cost, provided you maintain an active PicassoToys Elite Club membership status.This benefit applies to toys purchased directly from www.PicassoTiles.com as well as from other retailers such as Amazon or Walmart. To initiate the replacement process, simply contact our customer service team, where we will verify the eligibility of the product for replacement. Once the product has been verified, we will provide you with a return label to send the product back to us for assessment. It's important to note that this benefit does not cover damages resulting from misuse, neglect, or unauthorized repairs. Additionally, the lifetime replacement benefit is non-transferable and applies only to the active PicassoToys Elite Club member. While we strive to maintain this benefit indefinitely, we reserve the right to modify or terminate it at any time without prior notice. If you have any questions or require assistance regarding lifetime product replacements, please don't hesitate to reach out to our customer service team.

 

6. Free Shipping:

Free shipping is exclusively available to active members of our loyalty program. To qualify for free shipping, you must maintain active membership status. Free shipping applies to all orders placed by active members on our website, with no minimum purchase requirement. It is valid for standard shipping methods only and applicable to delivery addresses within the United States region. Please note that free shipping does not apply to expedited shipping methods or special delivery options. While we endeavor to deliver orders promptly, delivery times may vary depending on the shipping destination and other factors beyond our control. We reserve the right to modify or terminate the free shipping offer for active members at any time, without prior notice, at our sole discretion. 7. Exclusive STEM Vault Content:

a) Sneak Peek Launches: Gain exclusive access to new and upcoming toy launches before they're available to the general public. Participants must maintain confidentiality regarding all information, images, or details about the new toys until the official launch date, refraining from disclosing any details on social media or other public platforms. Participation doesn't guarantee the ability to purchase or receive the new toys before the official launch date, which will be communicated separately and may be subject to change. PicassoToys Elite Club members also agree not to resell any toys obtained through the sneak peek before the official launch date. We reserve the right to cancel, modify, or suspend the sneak peek at any time, for any reason, without prior notice.

 

8. Monthly Video Giveaway: Win a Free Toy!

This giveaway is exclusively open to PicassoTiles Elite Club Members, with current active membership status verified prior to awarding the prize. To enter, submit a video on Facebook or Instagram lasting at least 30 seconds showcasing how your kids enjoy playing with PicassoTiles toys and why you love them, including the hashtag #PicassoToysEliteClub in your post. The giveaway runs from the first to the last day of each calendar month, and entries outside this period will not be considered.

Each month, one winner will be randomly selected from all eligible entries. PicassoTiles will contact the winner via direct message on the social media platform where the entry was submitted within the first few days of the new month. If the winner does not respond within 7 days, an alternate winner will be chosen. By submitting your video, you grant PicassoTiles the right to use, reproduce, and display it on our website, social media channels, and other marketing materials. You agree that the video may be used for promotional purposes without additional compensation.

Personal information provided with the entry will be used solely for giveaway purposes and in accordance with our privacy policy. Entries that do not meet the terms and conditions, including inappropriate content or missing the required hashtag, may be disqualified. PicassoTiles reserves the right to modify or cancel the giveaway at any time due to unforeseen circumstances or technical issues.

Monthly Video Giveaway Official Rules and Regulations:

Please read these rules (the “Official Rules”) before entering the Monthly Video Giveaway By entering and participating in the Monthly Video Giveaway, you agree to be bound by these Official Rules and represent that you satisfy all of the eligibility requirements set forth below.

1. Eligibility: The Monthly Video Giveaway ("Giveaway") is open to all individuals who meet the following eligibility criteria: An active PicassoToys Elite Club membership subscriber, and must have a mailing address that is not a P.O. Box number are eligible to participate. Participants must be legal residents of the 50 United States and the District of Columbia and are aged 18 or older, or the age of majority in the legal resident’s home state (whichever is older) at time of entry. Giveaway is void elsewhere and where prohibited, taxed or restricted by law. Employees, officers and directors of PicassoTiles, LLC (The Sponsor) and its parent and related companies, affiliates, subsidiaries, divisions, partners, advertising and promotion agencies, and any manufacturers or distributors of Giveaway materials (collectively, all of the foregoing, the “Released Parties”), and their immediate family members (parents, children, and siblings) or members of the same household (whether related or not) of such employees/officers/directors are not eligible to enter. You are not authorized to participate in the Giveaway if you are not located within the 50 United States or the District of Columbia. All federal, state and local laws and regulations apply. 

     

    2. Giveaway Entry Period: The Entry Period, starting approximately at 12:00 AM Pacific Time ("PT") on the first day of each month, concludes at 11:59 PM PT on the last day of the same month. All entries must be received during the Entry Period to be eligible. The Entry period is as stated above unless extended or shortened by The Sponsor, in its sole and absolute discretion (collectively, the “Giveaway Entry Period”).
    3. How to Enter: During the Giveaway Entry Period, current and active PicassoToys Elite Club members must submit a video of at least 30 seconds on Facebook or Instagram. The video should show how their kids enjoy playing with PicassoTiles toys and explain why they love them. To be considered for the giveaway, make sure to include the hashtag #PicassoToysEliteClub in your social post. The giveaway runs from the first to the last day of each calendar month, and entries submitted outside this period will not be considered. Once Entrant completes the entry process, entrant will be entered into the Giveaway. All entries become the sole and exclusive property of The Sponsor. The Sponsor is not responsible for lost, late, illegible, stolen, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled entries, which will be disqualified, or for problems of any kind whether mechanical, human or electronic. Only fully completed entries are eligible. Proof of submission will not be deemed to be proof of receipt by The Sponsor. Limit: One entry per person during the Entry Period (“Giveaway Entry Limit”). Any entries that exceed the Giveaway Entry Limit will be disqualified. Decisions of The Sponsor are final relating to all aspects of the online entry process and results. The Sponsor may void any entry if entrant or related parties violate any of the terms and conditions attached to the Giveaway or these Official Rules.
    4. Random Drawing/Odds and Prize: One (1) Winner will be selected at random from all eligible entries received during the Entry Period. The Winner will receive one (1) free PicassoTiles toy set (chosen from a provided list) from The Sponsor. The Winner will be selected via social media message on or about the 7th day of the following month. The odds of winning depend on the total number of eligible entries received. By participating in the Giveaway, each entrant agrees to abide by these Official Rules and accepts the final decisions of The Sponsor as binding in all matters related to the Giveaway.
    5. Prize Details and Terms: Upon notification, one (1) Winner will receive comprehensive information regarding their Prize, including any additional terms and conditions. It is important to note that no substitutions or cash redemptions will be allowed. In the event that a particular Prize component is unavailable, the Sponsor reserves the right to replace it with a Prize of equal or greater value. Furthermore, the awarded Prize is non-transferable, cannot be sold, exchanged, or redeemed for cash, and is void in areas where prohibited by law.
    6. Prize Award Conditions: The Prize will be awarded contingent on the receipt of a sufficient number of eligible entries. It's crucial to be aware that all federal, state, and local taxes, as well as any unspecified expenses, will be the sole responsibility of the Winner. If, for any reason, a Winner chooses to return their Prize, they will be obligated to cover the return cost. Additionally, once a Winner has selected their Prize and it has been shipped, they will no longer be able to request an alternative Prize. These conditions ensure a clear understanding of the rules and expectations for the Prize award process.
    7. Winner Selection: The Winner will be selected through a random drawing conducted by The Sponsor or an independent third-party administrator, which will be selected by The Sponsor. The drawing will be conducted fairly and without bias.
    8. Winner Notification: The Winner will be contacted via email at the email address they are subscribed to at PicassoTiles.com on or about the 7th day of the month. The Winner may be required to sign and return, where legal, an Affidavit of Eligibility and Release and W9 within five (5) days of prize notification. If an individual Winner cannot be contacted within five (5) days of the first notification attempt, if Prize or Prize notification is returned as undeliverable, if the Winner rejects the Prize, or in the event of noncompliance with these Official Rules, the Prize will be forfeited and an alternate Winner will be selected among all remaining eligible entries, time permitting. Upon Prize forfeiture, no compensation will be given. Limit one (1) prize per person, per household, per individual winner. The Winner acknowledge that The Sponsor, Released Parties, and all other businesses affiliated with this Giveaway and their agents do not make, nor are in any manner responsible for any warranty, representations, expressed or implied, in fact, or in law, relative to the quality, conditions, fitness or merchantability of any aspect of the Prize.
    9. Winner Announcement: After the Winner has agreed to accept their chosen Prizes, they may be asked for publication on PicassoTiles.com and/or blog. Additionally, a few questions may be asked for publication on the PicassoTiles.com blog. AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE GIVEAWAY SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT’S ELIGIBILITY AND GIVEAWAY WINNERS HAVE BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT THE VERIFICATION IS COMPLETE. THE SPONSOR WILL NOT ACCEPT SCREENSHOTS OR OTHER EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS. 
    10. Publicity Release: By entering the Giveaway, each entrant fully and unconditionally agrees to be bound by these Official Rules, which will be final and binding in all matters relating to the Giveaway. By entering, each entrant agrees to the use of his/her name, address (city and state), photograph, picture, portrait, voice, likenesses, biographical information, and/or statements for purposes of advertising, trade, or promotion in any media (now known of hereafter known) throughout the word in perpetuity, without further compensation, notification, or permission, unless prohibited by law. Entries may be cut, edited, reformatted, rearranged, combined with other material and/or otherwise modified, in The Sponsor’s sole and absolute discretion. Nothing contained herein shall be deemed to obligate The Sponsor to make use of any of the rights granted herein, and each entrant and the Winner waive any right to inspect or approve any such use of any and every nature and kind.

     

    11. Release: By participating, each entrant and the Winner agree to release, indemnify and hold harmless The Sponsor and the Released Parties from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, or participation in Giveaway, or possession, acceptance and/or use or misuse of Prize or participation in any Giveaway-related activity and claims based on publicity rights, defamation, invasion of privacy, copyright or trademark infringement, or other intellectual property related cause of action, breach of contract and/or merchandise delivery. Neither The Sponsor nor any Released Parties are responsible for (i) any typographical or other error in the printing of the offer, in the administration of the Giveaway or in the announcement of the individual Prizes to one (1) individual Winner or (ii) any damages, taxes, or expenses that any individual Winner might incur as a result of this Giveaway or receipt of the Prize. The Winner assumes all liability for any injury or damage caused or claimed to be caused by participation in this Giveaway or use/misuse or redemption of the Prize.

    12. Additional Terms: In case of dispute as to identity of entrant, entry will be declared made by the authorized account holder of the email address submitted at time of entry. “Authorized Account Holder” is defined as the natural person who is assigned an email address by an Internet access provider, online service provider, or other organization (e.g., business, educational, institution, etc.) The Sponsor is responsible for assigning email addresses or the domain associated with the submitted email address. Any attempted form of entry other than as set forth above is prohibited; no automatic, programmed, robotic or similar means of entry are permitted. Neither The Sponsor nor Released Parties are responsible for errors in content or misprinting, technical, hardware, software, telephone or other communications malfunctions, errors or failures of any kind, lost or unavailable network connections, website, Internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of entry information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed computer transmissions which may limit one’s ability to enter the Giveaway, including any injury or damage to entrant’s or any other person’s computer relating to or resulting from participating in this Giveaway or downloading any materials in this Giveaway. The Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend this Giveaway for any reason, including but not limited to, virus, bugs, non-authorized human intervention, fraud or other causes beyond its control which could corrupt or affect the administration, security, fairness or proper conduct of the Giveaway. In case of termination, The Sponsor will select one (1) Winner from all eligible entries received prior to and/or after (if appropriate) the action taken by The Sponsor. The Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Giveaway or website. The Sponsor may prohibit an entrant from participating in the Giveaway or winning a Prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Giveaway by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or The Sponsor and its representatives or otherwise not complying with these Official Rules. There is no purchase required to participate. A purchase does not increase odds of winning. The Sponsor is not responsible if the Giveaway cannot take place or if any Prize cannot be awarded or used due to any reason outside The Sponsor’s reasonable control. No more than the standard number of Prizes will be awarded.

    CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

     

    13. Disputes; Governing Law: The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Giveaway. Any controversy or claim arising out of or relating to these Official Rules and/or the Giveaway shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of California, City of Corona. 
    THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF CALIFORNIA WITHOUT REGARD TO ITS CONFLICTS OF LAWS, RULES OR OF ANY OTHER JURISDICTION. For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Giveaway, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in or closest to the County of Riverside in the State of California. The parties agree not to raise the defense of forum non conveniens.
    14. Use of Data: The Sponsor will be collecting personal data about entrants online, in accordance with its privacy policy. Please review The Sponsor’s privacy policy at https://www.picassotiles.com/pages/privacy-policy. By participating in the Giveaway, each entrant hereby agrees to The Sponsor’s collection and usage of their personal information and acknowledges that they have read and accepted The Sponsor’s privacy policy.

        By accessing and/or participating in the benefits outlined for the PicassoToys Elite Club program, you are consenting to the following terms and conditions. All terms and conditions outlined herein are subject to the laws of California. To qualify for the benefits described above, you must maintain an active membership in the PicassoToys Elite Club.

         

        10. Newsletter Subscription Terms:

        When purchasing a PicassoToys Elite Club Membership, you will be automatically subscribed to our newsletter unless you are already subscribed. This subscription allows us to keep you informed about important updates, promotions, and offers related to your exclusive benefits. You can unsubscribe from the newsletter at any time by following the instructions provided in the email.

        Picassotiles membership program, PicassoToys Elite Club (the "Membership”), is a unique membership program owned and controlled by Latitude LLC., exclusively available to users who registered at www.picassotiles.com. By accessing and engaging with the PicassoToys Elite Club in accordance with these Membership Terms (the "Terms"), members can enjoy exclusive promotional deals, participate in the free monthly Pick-a-Part (PAP), receive a free child birthday gift annually (pending on membership tier), benefit from an exclusive lifetime warranty, enjoy free shipping, access an exclusive STEM content vault, and qualify for a free toy giveaway upon video submission. The PicassoToys Elite Club membership and its benefits are subject to change at the discretion of Latitude LLC.

        The PicassoToys Elite Club is offered only to customers who are at least 18 years of age and who provide and maintain a valid email address with www.Picassotiles.com. By joining the PicassoToys Elite Club, you represent that you are at least 18 years of age or older. When registering for the PicassoToys Elite Club, you agree to only register one (1) account for the purpose of collecting benefits.

        Once you become a User of the PicassoToys Elite Club, you will receive additional emails related to the Membership, and other benefits available hereunder. Opting out of such emails may prevent your participation in the Membership. We expect that you will submit and maintain accurate user information.         MEMBERSHIP PARTICIPATION

        The Membership provides PicassoToys Elite Club members ("Users") multiple benefits while using, viewing, interacting or responding to the Participating Site in accordance with the rules of any promotion. For the purposes of the Membership , "benefits" mean those particular benefits offered through the Membership . Benefits and their values are: (a) determined by Picassotiles.com at its sole discretion; (b) subject to change without notice; (c) may vary among promotions; (d) are subject to approval; and (e) may be subject to other limitations and restrictions during a defined period and/or for specific actions as determined at the sole discretion of Picassotiles.com. All benefits, including but not limited to accruing, saving and using, must be used in compliance with these Terms. Benefits are not transferable and cannot be accrued after the Membership is terminated. Unless prohibited by law, unused benefits are forfeited upon termination of the Membership.

        TERMINATION

        This Membership may be terminated at Picassotiles sole discretion. Notice of termination shall be provided to Users in the manner Picassotiles deems reasonable, including but not limited to, posting such notice on the Participating Site,or via email.

        GENERAL CONDITIONS

        All federal, state and local laws and regulations apply. Taxes on benefits, if any, are the User's sole responsibility. Again, benefits are not transferable. At no time may a User purchase, sell or barter any benefits.

        DISPUTE RESOLUTION AND ARBITRATION

        While Picassotiles will make every reasonable effort to resolve any disagreements the User may have with the Picassotiles.com, if these efforts fail, Picassotiles and the User agree that all claims, disputes, or controversies arising out of or relating to this Agreement, User’s purchase or use of the Membership, communications from Picassotiles.com, and the purchase, sale, and/or redemption of any merchandise, services, and/or vouchers, or the content, display, or disclosure of any information on or in connection with the Membership ("Claims") are subject to the dispute resolution and arbitration process contained in our Picassotiles.com Terms of Use. This includes Claims based on contract, tort (including intentional tort), fraud, agency, User’s or Shop PO’s negligence, statutory or regulatory provisions, or any other sources of law; Claims made as counterclaims, cross-claims, third-party claims, interpleaders or otherwise; and Claims made independently or with other claims. For purposes of the dispute resolution and arbitration agreement, ”Picassotiles” includes its parent, subsidiaries, divisions, or affiliates and their respective officers, directors, employees, agents, or successors.

        LIMITATIONS OF LIABILITY. THE MEMBERSHIP AND ALL BENEFITS ARE PROVIDED ON AN “AS IS” BASIS AND WITHOUT WARRANTY, GUARANTEE, OR REPRESENTATION OF ANY KIND, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

         

        Picassotiles.com and Platform Provider are not responsible or liable for: (a) incomplete or incorrect information, garbled transmissions, and telecommunications failures or service interruptions; (b) a User’s use of the Participating Site or benefits; (c) for typographical, printing or other errors in the offer or administration of the Program; (d) errors, irregularities or failures in: (i) awarding, accumulating, receiving, redeeming or using benefits; (ii) advertising; or (iii) accessing the Membership; (e) mistakes in or changes to the Terms, the selection, notification and announcement of the benefits or the distribution of the benefits; (f) any direct or indirect damage(s), loss(es), expense(s) or (g) any incorrect or inaccurate information, whether caused by web site users or by any of the equipment or programming associated with or utilized in the Membership or by any technical or human error which may occur in the processing of submissions in the Membership. Picassotiles assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft of or destruction or unauthorized access to, or alteration of, benefits or benefits accruing activities. Picassotiles is not responsible for any problems, failures or technical malfunction of any online systems, servers or providers, computer equipment, hardware/software, players or browsers, failure of email or benefits or benefit accruing activities due to or resulting from technical problems or traffic congestion on the Internet or at any web site or combination thereof, including injury or damage to Users or to any other person's computer related to or resulting from participating or downloading materials in the Membership.  

        MISCELLANEOUS

        Unless otherwise indicated in these Terms, by entering and participating in the Membership, the User agrees to Picassotiles’ Terms of Use and Privacy Policy located on the Participating 

        By participating in the Membership, you affirm that you are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms, and to abide by and comply with these Terms. If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

        These Terms constitute the entire agreement between User and Picassotiles relating to the subject matter herein and supersedes any and all prior or contemporaneous written or oral agreements between User and Picassotiles with respect to such subject matter. These Terms may not be changed, waived or modified except by Picassotiles as provided herein or otherwise by written instrument signed by Picassotiles. These Terms and/or any right, obligation, or remedy hereunder is not assignable, transferable, delegatable, or sublicensable by a User except with Picassotiles' prior written consent, and any attempted assignment, transfer, delegation, or sublicense shall be null and void. Picassotiles may assign, transfer, or delegate these Terms or any right or obligation or remedy hereunder in its sole discretion.

        By purchasing a monthly our annual PicassoToys Elite Club membership, you agree to all the terms and conditions outlined above.
